Lumine Group acquired Imagine Communications through one of its subsidiaries, expanding its portfolio of broadcast and media technology businesses. Financial terms were not disclosed.

Imagine Communications will continue to operate as an independent business under Lumine’s decentralized operating model. The U.S.-headquartered company supplies video connectivity systems, channel origination technology and advertising management and monetization products.

The acquisition adds Imagine’s channel origination capabilities to Lumine’s existing video processing portfolio. It also expands Lumine’s television advertising technology holdings through products including Imagine’s Landmark Sales platform.

“Imagine Communications is an important addition to Lumine’s growing Media ecosystem,” Tony Garcia, chief operating officer at Lumine Group, said. “The business will provide origination to our already extensive video processing capabilities, while complementing and expanding TV monetization with its Landmark™ Sales AI-enabled advertising product, amongst others. Consistent with Lumine’s decentralized operating approach, Imagine Communications will continue to operate as an independent business, and as a buy-and-hold forever owner, we are committed to giving them the stability to keep building on their depth of expertise in the industry. We look forward to welcoming this global team and its customers to Lumine, to share our best practices, and to learn from their decades of industry insight.”

Imagine Communications CEO Steve Reynolds said Lumine’s ownership model would allow the company to retain its operational autonomy.

“We are excited to become part of the Lumine Group global media ecosystem,” Reynolds said. “Lumine Group’s acquisition approach and buy-and-hold philosophy provide us with a solid foundation on which we can continue to innovate, while providing certainty to our customers and employees. Operating as an autonomous business within Lumine Group, we have a clear path and excellent support to achieve our vision and serve our customers’ most critical needs.”

The seller was private equity firm The Gores Group, ending its ownership of Imagine after nearly 12½ years. Gores announced its acquisition of the Harris Broadcast division in December 2013.

During Gores’ ownership, the business acquired the former Imagine Communications, OpenTV’s advanced advertising business, RGB Networks and Digital Rapids. It also divested GatesAir, adopted the Imagine Communications name and restructured its product portfolio.
